DIY & Safe Harbor
Can I Use a 409A Calculator Instead of Paying a Provider?
A 409A calculator can give you a rough estimate. It cannot give you a 409A valuation. An estimate has no independent appraiser, no report, and no safe harbor presumption behind it. If you are granting options, you need a real report. 409A.io is $99/month on a 12-month term, with an audit-ready report within 48 hours of receiving your documents.
What does a 409A calculator actually do?
Most online calculators ask for a few inputs, such as your last round price and stage. They apply a general rule and return a number.
That number can help you plan. It is not something to set a strike price on.
Why is an estimate not a 409A?
A 409A valuation sets the fair market value of your common stock, so options can be granted at or above it. Three things separate a report from an estimate.
- Independence. The safe harbor presumption for an independent appraisal requires a qualified, independent appraiser. A calculator is not an appraiser.
- Method. A report allocates value across your share classes. 409A.io uses an OPM backsolve to the most recent financing, cross-checked with guideline public companies. A calculator does not model your preferred terms, SAFEs, or option pool.
- Documentation. Auditors and acquirers ask for the report and the support behind it. A calculator output does not answer their questions.
What happens if I grant options off a calculator number?
You give up the presumption of reasonableness. If the IRS challenges the value, the burden is on the company to show the price was right.
If the strike price turns out to be below fair market value, the tax consequences can land on your option holders, not just the company. That is a hard conversation to have with your first hires.
When is a calculator useful?
Use one to think through a raise or an option pool before you have numbers in hand. Do not use one to price grants, answer an auditor, or support a board resolution.
Is a real 409A still expensive?
It does not have to be. Typical firms charge $3,000 to $5,000 and take 2 to 4 weeks. Big Four firms often charge $8,000+ and take 4 to 8 weeks.
409A.io is $99/month on a 12-month term, billed monthly, with everything included. It uses the same methodology as firms charging $3,000 to $5,000, prepared in accordance with AICPA guidelines for privately-held equity issued as compensation. Every report is reviewed by a valuation professional from the MELD team before delivery.
The term covers more than one report:
- Updates upon request and material-event coverage during your term.
- Direct auditor support. If your auditor has questions, we answer them.
- Cap table upload takes under 5 minutes, and CSV is supported.
409A.io is built for pre-seed through Series A. It was spun out of MELD Valuation, which has completed 10,000+ valuations. When your cap table gets complex, graduate to MELD, or tell us your situation and we will point you the right way.
Safe harbor is a presumption that the valuation is reasonable, not a guarantee. This is not legal, tax, or accounting advice.
